• Transaction supports VITRONIC's strategic focus on core growth areas
  • Following closing, WSI will become part of LMI Technologies, a subsidiary of TKH Group NV, providing a strong platform for further growth and innovation

VITRONIC has signed an agreement for the sale of its Weld Seam Inspection (WSI) business. Upon closing, the WSI activities will be integrated into the TKH Group's 3D machine vision business, which includes LMI Technologies. The transaction remains subject to the agreed closing requirements.

The transaction forms part of VITRONIC's ongoing strategic portfolio development and reflects the company's focus on areas that are most closely aligned with its future growth strategy. While the Weld Seam Inspection business has developed successfully over many years as a market leader, it is no longer considered a core strategic focus within VITRONIC's long-term portfolio direction.

As VITRONIC continues to focus its investments and resources on its strategic growth areas in traffic technology and logistics with end-to-end solutions in state-of-the-art machine vision technology, the company believes that the Weld Seam Inspection business will be best positioned for its next phase of development under an owner for whom it represents a core strategic activity.

At the same time, VITRONIC is fully convinced that the business is well positioned for further growth through synergies with TKH Group's 3D machine vision business.

This agreement supports our strategic transformation. WSI is a successful business with strong technology, highly valued customer relationships and a dedicated team. As we continue to sharpen our strategic focus to end-to-end solutions in the traffic and logistics industries, we believe this transaction creates the best conditions for both organizations to pursue their respective growth ambitions. It allows VITRONIC to focus resources on its future strategic priorities while enabling WSI to develop within an environment where it represents a core business and investment focus. We are proud of what the team has achieved over many years and are confident that the business will continue its successful development under its new ownership. At the same time, this transaction marks another important step in our strategy to sharpen our focus on our core business activities."

Until closing, WSI remains part of VITRONIC Group. During this period, existing customer projects, service commitments and support arrangements will continue as usual.

The planned transaction reflects VITRONIC's commitment to actively shaping its portfolio, focusing investments on strategic growth areas and creating the best possible conditions for all businesses to succeed in their respective markets.
